We are hands-on, results-oriented, experienced executives focused on one goal - to improve the condition of our client companies. Whether the improvement is quantitative or qualitative, long-term or short-term, our focus is on a successful outcome for the client.

We work collaboratively with the chief executive officer, executive management teams, board of directors and investors to establish desired client objectives and metrics at the outset of any engagement. Our engagements are typically completed in one to three months.

Our business is unique in that we charge a fee for our services on a project-by-project basis or we offer clients the flexibility of hourly billing rates on a time basis. We are focused on the successful outcome of our client's objectives, not in the perpetuity of tasks that may or may not result in the achievement of a client's objectives. When our clients' goals and objectives are met, the resultant improvements justify their investment.

We believe that a company should be managed to enhance shareholder value. Increased shareholder value can come from growth but this doesn't preclude operating with a lean cost structure and profitably while generating positive cash flow that can be distributed to the shareholders. We believe increased profit and positive cash flow increase the probability of achieving increased shareholder value.

We offer initial consultations to ensure that collaborative, working relationships can be established. The initial meetings are critical to ensure that mutually agreed upon objectives and metrics can also be established to increase the probability that the client's outcome is successful.

We are hands-on executives and will drive the completion of the agreed upon objectives and metrics, but we will need to work closely with the client to complete the engagement. To this, we offer the following:

Board membership:
We also offer our services as board or audit committee members of your company on a permanent or transitional basis. Our experience qualifies us, in accordance with SEC regulations, as "financial experts".

Blair Geddes, Chief Executive Officer
Over the past 20 years, Blair has served in senior finance roles in both private and public companies in the Telecom, Software and Defense industries. Blair is a Chartered Accountant by education.

The majority of his experience has been as CFO, acquiring significant experience in high growth management, international finance, restructurings, multifunctional business management and mergers and acquisitions.
Blair has been Chief Financial Officer and Board member actively leading management teams through successful sale processes. Some of the more significant transactions include:
  • In 2011, chaired the Special Committee of the Board of Directors of DNA Genotek in its sale to Orasure Technologies for $53 million
  • In 2007, as CFO of Med-Eng Systems in its sale to a TSX-listed company for $650 million
  • In 1998, as CFO of Advanced Computer Communications in its sale to Ericsson for $300 million
Blair was Chief Financial Officer of ActivCard Inc. (NASDAQ: ACTI), a leading supplier of smart-card based software infrastructure systems and two-factor authentication products and services from 2000 to 2004.

During this time, Blair lead ActivCard in two public share exchange offers for the purpose of changing the domiciliation of the public company from France to the United States.
Blair gained a broad base of operating experience as well as extensive experience in financial reporting during his employ in senior finance roles in international organizations, public and private, that ranged in size from 150 employees with $20 million in revenues to 110,000 employees with $23 billion in revenues.
During his career, Blair developed, lead or participated on a team of executives that executed restructuring plans with each company he worked for.

Whether the company was profitable or not, inevitably there were occasions when either the operating model required minor modifications or wholesale restructuring of the business model was needed to achieve or protect profitability and cash flow and shareholder value.
